IMPORTANT NOTICE REGARDING ARBITRATION
THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. PLEASE READ CAREFULLY.
1. INTRODUCTION & DEFINITIONS
These Terms of Service (“Terms”) govern your access to and use of the websites, applications, software, content, and services (collectively, the “Services”) operated by Recomune, Inc., a Delaware corporation with operations in New Jersey (“Recomune,” “ReComune,” “we,” “us,” or “our”), including:
By accessing or using the Services, you agree to be bound by these Terms and all applicable laws. If you do not agree, do not use the Services.

Definitions
2. DESCRIPTION OF SERVICES
2.1 General Description
The Services enable users to record, store, organize, generate, export, and share memories, narratives, and AI-assisted content.
2.2 Medical & Wellness Disclaimer (Recomune Only)
Recomune is not a healthcare provider and does not provide medical, psychological, or therapeutic services. No therapeutic benefit is guaranteed.
2.3 Emergencies
The Services are not intended for emergencies. If you believe you are in immediate danger or experiencing a medical or mental health emergency, contact emergency services immediately.
2.4 No Archival, Permanence, or Reliance Guarantee
The Services are not an archival, record-keeping, legal, or estate service. We do not guarantee permanent storage, preservation, accuracy, or future availability of User Content or AI Output. You are solely responsible for maintaining backups and exports of content you wish to retain.
2.5 Feature Changes & Non-Reliance
Features, functionality, pricing, and availability may change at any time. You agree not to rely on the continued availability of any feature, capability, storage duration, or output format.
3. ACCOUNTS & ELIGIBILITY
You must be at least 18 years old to create an account. You are responsible for safeguarding your account credentials and for all activity under your account.
You agree to provide accurate, current information and to keep it updated.
4. PAYMENTS, BILLING & SUBSCRIPTIONS (STRIPE)
4.1 Payment Processing
Paid features are processed by third-party payment processors, including Stripe. By purchasing a subscription or paid service, you authorize Recomune and its payment processors to charge your selected payment method for applicable fees, taxes, renewals, and adjustments.
4.2 Subscriptions & Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless canceled before renewal. You authorize recurring charges until you cancel.
4.3 Refund Policy
All fees are non-refundable, except where required by applicable law. We do not provide refunds or credits for partial billing periods, unused time, deleted content, emotional dissatisfaction, feature changes, or dissatisfaction with AI Output.
4.4 Chargebacks & Payment Disputes
You agree to contact Recomune before initiating a chargeback or payment dispute.
Unauthorized, excessive, or abusive chargebacks may result in account suspension or termination.
4.5 Failed Payments
If payment cannot be processed, we may suspend or limit access to paid features until payment is successfully completed.
4.6 Taxes
Prices may exclude applicable taxes. You are responsible for all applicable taxes, duties, or governmental charges.
5. CANCELLATION & TERMINATION
You may cancel your account at any time. Account deletion is generally irreversible. Data deletion is subject to legal, security, dispute-resolution, and backup retention requirements.
We may suspend or terminate your account for violations of these Terms, fraud, abuse, unlawful activity, or excessive chargebacks, with or without notice.
6. USER CONTENT & RESPONSIBILITY
You are solely responsible for your User Content and for ensuring that you have all necessary rights, permissions, and consents to upload, store, and share it.
You agree not to upload or use content that is unlawful, infringing, defamatory, abusive, misleading, or violates third-party rights.
No Duty to Monitor
Recomune does not monitor User Content and assumes no duty to review, detect, prevent, or respond to harmful, unlawful, inaccurate, or objectionable content.
Enforcement Rights
We reserve the right (but not the obligation) to remove, restrict, report, or disable access to User Content that we believe violates these Terms or applicable law.
7. REMEMBER: SHARING, NARRATIVES & DISPUTES
7.1 Shared Access
You control what content you share and with whom. Recomune is not responsible for disputes arising from sharing decisions or access permissions.
7.2 Subjective Narratives & Defamation Disclaimer
User Content and AI Output may reflect subjective memories, opinions, or interpretations.
Recomune does not verify accuracy and is not responsible for claims of defamation, reputational harm, emotional distress, or family disputes arising from memories, narratives, or shared content.
7.3 Exported Content
Once User Content or AI Output is exported, downloaded, or shared outside the Services, Recomune has no control over its use and bears no responsibility for any resulting consequences.
8. VOICE MODELING & SYNTHETIC MEDIA
8.1 Voice Modeling Consent
The Services may allow you to create Voice Models based on voice recordings. By submitting voice recordings, you expressly consent to the creation and use of Voice Models for your personal use within the Services.
You represent and warrant that:
8.2 Biometric Data Acknowledgment
You acknowledge that voice recordings and Voice Models may constitute biometric or personal data under certain laws and you expressly consent to their processing.
8.3 Prohibited Uses
You may not use Voice Models to impersonate any individual, misrepresent identity, commit fraud, deceive others, or violate applicable law. Recomune is not responsible for misuse of Voice Models by users.
8.4 Synthetic Media Disclaimer
Voice Models and AI-generated speech are approximations and may not accurately reflect the individualʼs true voice, tone, or intent. Recomune is not liable for emotional distress, grief, or harm arising from synthetic media.
8.5 No Sale of Voice Models
Recomune does not sell Voice Models. Voice recordings and Voice Models are used only as described in these Terms and our Privacy Policy.
9. LEGACY, DEATH & INCAPACITY
Recomune is not an estate, probate, or fiduciary service. We have no obligation to preserve, release, or transfer User Content or Voice Models to heirs, executors, or family members except as required by law.
Access after death or incapacity is limited to permissions established before death, exported copies, or valid legal process. Voice Models do not create inheritance, personality, or publicity rights beyond permissions granted prior to death.
10. INTELLECTUAL PROPERTY
10.1 Ownership
You retain ownership of your User Content.
10.2 License to Recomune
You grant Recomune a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and modify User Content solely as necessary to operate, secure, improve, and provide the Services and to generate AI Output you request.
User Content uploaded to Remember will not be used for advertising or marketing without your express opt-in.
10.3 Aggregated & De-Identified Data
We may use aggregated, anonymized, or de-identified data derived from User Content to improve, train, and develop our services and models, provided such data does not identify any individual.
11. NO RELIANCE & AUTOMATED PROCESSING
You agree not to rely on the Services or AI Output as a source of factual truth, legal evidence, professional advice, or historical accuracy. Any reliance is at your sole risk.
The Services operate primarily through automated systems. User Content and AI Output may not be reviewed by a human.
12. LEGAL COMPLIANCE & GOVERNMENT REQUESTS
We may preserve or disclose User Content or account information to comply with legal obligations, lawful government requests, law enforcement requirements, or to protect rights, safety, and security.
13. INTERNATIONAL USE
You are responsible for complying with local laws, regulations, and cultural norms applicable in your jurisdiction. We make no representation that the Services are appropriate or available in all locations.
14. ACCESSIBILITY & AVAILABILITY
We strive to improve accessibility but do not guarantee compatibility with all assistive technologies.
The Services may be unavailable due to maintenance, technical issues, or events beyond our control. We are not liable for unavailability or resulting loss.
15. WARRANTIES, LIABILITY & INDEMNITY
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the maximum extent permitted by law, Recomuneʼs total liability shall not exceed $100 or the amount you paid in the preceding six (6) months, whichever is greater.
To the maximum extent permitted by law, Recomune is not liable for emotional distress, grief, loss of companionship, or sentimental harm.
You agree to indemnify and hold harmless Recomune from claims arising from your use of the Services or violation of these Terms.
16. DISPUTE RESOLUTION & ARBITRATION
All disputes shall be resolved by binding arbitration on an individual basis in accordance with the rules of the American Arbitration Association (AAA).
Arbitration shall take place in the State of New Jersey, unless the parties agree otherwise, and may be conducted remotely where permitted by the AAA Rules.
Jury trials and class actions are waived.
This Arbitration Agreement survives termination of your account and cessation of use of the Services.
